Disclosure

Effective date: July 2026

This page sets out the disclosures Equitup Financial Services LLP makes to investors and prospective investors in accordance with the AMFI Code of Conduct for intermediaries and applicable SEBI regulations.

Who we are

Equitup Financial Services LLP is a limited liability partnership registered in Hyderabad, Telangana. We are an AMFI Registered Mutual Fund Distributor with ARN Code 188934, valid from 18 October 2024 to 18 October 2027, and an APMI Registered PMS Distributor with APRN Number 02250, valid from 7 August 2025 to 6 August 2028.

The capacity in which we act

We act as a distributor. We facilitate investments in mutual fund schemes and refer clients to SEBI-registered portfolio managers. We are not a SEBI Registered Investment Adviser, and we do not provide investment advisory services as defined under the SEBI (Investment Advisers) Regulations, 2013. Any discussion of schemes, strategies, or markets in the course of distribution is incidental to distribution and should not be construed as advisory services. Investment decisions rest with the investor.

How we are paid

We do not charge investors any fee for mutual fund distribution. We are remunerated by asset management companies by way of commission on the investments made through us, in accordance with SEBI and AMFI regulations. Commission rates differ from scheme to scheme and from one asset management company to another.

In respect of portfolio management services, we receive referral or distribution fees from the portfolio managers whose services we distribute.

The rate of commission applicable to any scheme recommended to you will be disclosed to you on request before you invest. Scheme-wise commission structures paid by asset management companies to distributors are also disclosed by AMCs and AMFI in accordance with SEBI requirements.

Conflict of interest

Because our remuneration comes from product manufacturers, a potential conflict of interest is inherent in distribution. We manage this in two ways. First, scheme selection at Equitup follows a documented internal research framework applied before, and independently of, any consideration of commercials. Second, we disclose commissions on request, so investors can see what we earn on what we recommend.

Risk disclosures

Mutual fund investments are subject to market risks. Read all scheme related documents carefully before investing. The NAVs of schemes may go up or down depending upon the factors and forces affecting securities markets. Past performance of any scheme, the AMC, or the distributor does not indicate the future performance of the schemes. There is no assurance or guarantee of returns in any scheme, and no scheme provides guaranteed or assured returns unless explicitly stated in the offer document.

Investment in securities market, including through portfolio management services, is subject to market risks. Read all the related documents carefully before investing. Minimum investment thresholds and fee structures for portfolio management services are governed by SEBI (Portfolio Managers) Regulations, 2020 and the respective portfolio manager's disclosure documents.

KYC

Completion of Know Your Customer requirements is mandatory for investing in securities markets. KYC is a one-time exercise, valid across intermediaries, carried out through SEBI-registered KYC registration agencies.
